Part I addressed the basics of Delaware business entities and general issues relating to Delaware entity law and opinions practice.  Part II covers customary Delaware state law opinions, including due formation and good standing, due authorization, power and authority, remoteness and nondissolution. 

Part III, which will be published shortly, will address UCC opinions and opinions on non-Delaware, federal legal issues, including opinions on authority to file bankruptcy and nonconsolidation.  Part III will also cover standard limitations and exclusions.
