As noted by Justin Vartanian and Maurice Gilbert in the September 6–19 issue of the New Hampshire Business Review, the New Hampshire Department of Revenue Administration (DRA) recently issued a favorable tax declaratory ruling regarding a proposed S corporation conversion to an LLC. The DRA’s detailed ruling included analysis of New Hampshire’s Business Profits Tax, Business Enterprise Tax, Real Estate Transfer Tax, and Interest & Dividends Tax.

Chief Justice Myron Steele of the Delaware Supreme Court has announced his retirement, effective November 30.  All of us at Business Law Basics wish the Chief Justice well in his retirement, about which he is apparently quite excited.

Senator Carl Levin has reintroduced the Incorporation Transparency and Law Enforcement Assistance Act, which would impose requirements on states to collect information on the direct and indirect owners of limited liability companies and corporations.  This is information which in many states, including Delaware, is non-public (and not on record with any government entity).
